FUNREZ™ is a web-based event reservation and ticketing service. Our FUNREZ.COM website and web pages are used by Event Agents to describe and promote their Events to be reserved and ticketed by Event Attendees. Our service offers an Event-theme Platform-as-a-Service (PaaS) with hardware, software, network communication and customer support to fulfill all Event Agent requirements using a web browser with an internet connection. Typically these requirements involve creating Event Content, setting Event Dates, defining Event Tickets and Prices, defining Event Ticketing Messages, enabling Event Payments, describing Event Venues, and Maintaining Customers.

General Terms & Conditions

By allowing FUNREZ™ to host your Events our Event Agents agree to the terms and conditions we set out here. Event Agents agree that only legal content will be listed. Event Agent understands that FUNREZ™ is a “online aggregator” advertising other Event Agent’s items. Non-Event items may be listed. FUNREZ™ reserves the right to: a) refuse accepting Events from any party; b) determine appropriateness of textual and graphical content of all Online Listings. Event Agents understand and agree that they are responsible for and liable for their Event Listings.

General Admission Seating

Event Agents understand and agree that only General Admission Seating will be reserved and ticketed by FUNREZ™. Although it is possible to reserve and ticket types of seats at different prices (e.g. VIP, Balcony, Front Row), it is not possible to reserve and ticket a specific seat.

Merchant Accounts

You must have your own Merchant Account that works with one of our supported Payment Gateways. Event Agents are responsible for all financial transactions, payment of Merchant Account Fees, calculation and payment of applicable taxes, and payment-related Customer Service.

Integration with FUNREZ™

To be able to integrate an Event Agent website with FUNREZ™ you must be able to include our javascript FUNREZ Widget™ on appropriate Event Pages in your own website.

Copyright Considerations

Event Agents must have the legal right to list their Events. Event Agents grant permission to FUNREZ™ to use all Listing textual and graphic content owned by (copyrighted by) the Event Agent.

Content Maintenance

Event Agent may request removal from our Online Listings at any time. If we are maintaining the content, Event Agents agree to notify FUNREZ™ regarding content removal, content corrections and sold-out conditions on a timely basis. FUNREZ™ will make necessary or requested changes to Event Agent web content on a “best effort” basis subject to other priorities and constraints.

Customer Support and Warranty

Event Agents understand and acknowledge that they will provide all types of Customer Support pertaining to their Events. Event Agents agree that FUNREZ™ makes no Warranty regarding Event Listings.

Maintaining Business Records

Event Agents are responsible for obtaining and retaining all Business Records available to them in FUNREZ™ on a timely basis and to the extent necessary to support their business requirements. Standard FUNREZ™ file downloads and reports are available for use by Event Agents.

Event Agent Fees

FUNREZ™ will invoice Event Agents for any Fees, as stated in the Event Agent Agreement. If an Event Agent does not pay the Invoice on a timely basis (within 10-days), FUNREZ™ may remove or exclude the Event Agent’s Listings from our Online Catalog and restrict access to Event Attendees.

Independent Relationship

Neither Event Agent or FUNREZ™ (“both parties”) shall enter into any commitments or business arrangements or make representations pertaining to the other party without the written mutual agreement of both parties (i.e. Both Parties Are Independent Businesses).

Third-Party Actions

Both FUNREZ™ and Event Agents agree they do not and cannot control the flow of data to or from their respective networks and other portions of the Internet. Such flow depends in large part on the performance of Internet Services provided or controlled by third parties. At times, actions or inactions of such third parties can impair or disrupt visitor connections to the Internet (or portions thereof). Although both parties will use commercially reasonable efforts to take all actions it deems appropriate to remedy and avoid such events, both parties cannot guarantee that such events will not occur. Accordingly, both parties disclaim any and all liability resulting from or related to such events.

Service Level Agreement

Both FUNREZ™ and Event Agents agree to exercise their respective duties and activities on a “best effort” basis utilizing industry-standard tools, techniques, equipment and software. However, there is no mutual Service Level Agreement.

Governing Law

This Agreement is made under and will be governed by and construed in accordance with the laws of the State of California.

Dispute Resolution

FUNREZ™ and Event Agents will endeavor to settle amicably by mutual discussions any dispute or controversy arising out of or relating to using FUNREZ™, including, without limitation, the creation, existence, validity, construction, performance, breach or termination of these Terms or an Event Agent Agreement. Failing such amicable settlement, any controversy, claim or dispute arising out of or in relation to the creation, existence, validity, construction, performance, breach or termination of these Terms or an Event Agent Agreement shall be settled by binding arbitration to be held in Amador County, California, in accordance with the rules of the American Arbitration Association then in effect.

Our Liability

FUNREZ™ makes no guaranty sales results will meet a Event Agent’s goals and expectations. FUNREZ™ and our management and employees are not liable for any damages arising out of or related to access to or use of our site, or sites we link to, whether or not these damages are foreseeable and whether or not we have been advised of the possibility, including, without limitation, direct, indirect, special, consequential, incidental or punitive damages.

This agreement between FUNREZ™ and our Event Agents supersede all prior agreements and understandings pertaining to this subject matter. Rev. 10/24/2016
